Diagnostic imaging leader announces business acquisition

(January 25, 2020)– Probo Medical (“Probo”), a leading global provider of medical imaging equipment, parts, repair and service, announced today the acquisition of Mount International United Services Ltd (“MIUS”). Terms of the transactions were not disclosed.

MIUS, founded by Paul Mount in 1997, is a Gloucester, United Kingdom based provider of third-party service, repairs and maintenance for medical imaging equipment across the UK. MIUS provides service to over 250 NHS Trusts and Hospitals for Ultrasound, CT, MRI, X-ray and other medical imaging equipment with a 99.98% average uptime rate. Additionally, MIUS buys, sells and rents a broad range of medical imaging equipment and holds ISO 13485:2016, ISO 9001:2015 and ISO 14001:2015 certifications.

“The addition of MIUS to the Probo family is a tremendously exciting development for our company,” said Michael Asmer, CEO of Probo Medical. “We have known and worked with the MIUS team for many years and have a deep appreciation for MIUS’s long history of providing the highest quality service and equipment to their customers. Looking forward into a post-COVID world, we see a significant opportunity to bring forward a comprehensive set of diagnostic imaging equipment solutions to the European market. By combining MIUS with our existing operations in the UK, Probo is well positioned as a global leader for sales, service, rentals and repair of medical imaging equipment.”

MIUS Chairman, Paul Mount, said, “We are thrilled to be joining with Probo. The combination of MIUS with the Probo team in both the US and Europe, positions our company as one of the leading independent service and sales organizations for medical imaging equipment across Europe. This partnership will allow MIUS to offer a deeper solution set to our customers, backed by the same quality and service that MIUS has delivered for over two decades. We look forward to being part of the Probo family as we look to continue to expand our solutions across Europe.”

Prior to the MIUS acquisition, Probo acquired Elite Medical Technologies, LLC and Future Medical Equipment, Limited in February, 2020 to advance the company into the CT, MRI, PET/CT and X-Ray wholesale medical imaging equipment market in both the US and Europe.

Probo Medical is backed by Varsity Healthcare Partners, a lower middle-market private equity investment firm focused on partnering with founders, entrepreneurs and management teams to build leading healthcare services companies.

An announcement followed from Paul Mount, Chairman of Mount International United Services Ltd.

I am pleased to announce that Mount International United Service (“MIUS”) has made the decision to merge business operations with Probo Medical (“Probo”) and its family of companies.  Probo is a highly regarded industry player with deep experience in our sector and an appreciation for the challenges of running a successful business, like ours.

Therefore, as part of this process, an exciting set of initiatives is planned, most notable of which is a combination of MIUS and Future Medical Equipment, Ltd (“FME”) into a combined organisation that can present a comprehensive set of solutions to our customers in the UK and across Europe. This will include IMAX Medical, based in France and existing Probo offices in Germany and Romani

Beyond that, I’d like to share a few noteworthy highlights that I believe will be helpful in building understanding around the partnership between MIUS and Probo and the merger of FME with MIUS:

  • I will be continuing as Chairman of MIUS and the entire MIUS and FME teams will remain intact, This endeavour is about growth and we expect to need more (not less) skilled professionals in our organization as we strive to exceed the expectations of our customers.
  • Both the MIUS and FME leadership teams remain intact.  We are working to develop our organisational structure to best address the needs in the market and to the best benefit of our customers and suppliers.
  • We will continue to support all installation projects to the same quality standard but have access to additional engineering resources to effectively respond to challenging programs.
  • The integration will see the provision of more experienced engineers and other support staff. This will both broaden and strengthen the capabilities we bring to our customers and suppliers.
  • The introduction of a new ‘Parts Division’, which will initially be based at our Gloucester offices.  This new division will enable us to build stock levels so that we hold around 100% of all spare parts we need to support all the equipment we have on service contracts.   Over time, our target is to become a key supplier to other 3rd party companies across the whole of Europe, offering excellent quality and value for money.
  • We will continue to purchase, deinstall and remove from site all redundant equipment, including MRI, CT, X-ray and Ultrasound as one turnkey operation, again having additional engineering support available.
  • We will be expanding our rental fleet. We already have a fleet of mobile or relocatable MRI, CT, Mammography, X-ray, C-Arms and Ultrasound and we have already started building more.  Probo’s network, to access quality equipment for that fleet, will be greatly beneficial in that regard.
  • MIUS will still provide high quality servicing, with 99%+ uptime and 97% first time fix rates, in the same friendly and efficient way we are renowned for
  • Under the new MIUS merger we will continue to focus on the sale and support of the Iradimed MRI monitor and pumps. We believe in the success of this equipment, due to it being lightweight, cost effective, high quality and 100% magnet safe. It is proving to be successful in a number of different medical environments.

On behalf of our team, we appreciate your continued support of our business.  We look forward to working with you toward a successful 2021 and for many more year of success beyond that.

 Continued success over the years

ISO 13485 – In October 2020, MIUS were proud to announce that they had been awarded certification in the medical device quality management standard, ISO 13485:2016.This is in addition to the existing ISO certification for 9001:2015 and 14001:2015 and means that you can be assured of receiving a high-quality service from MIUS for all your medical diagnostic equipment needs, including the provision of quality parts for medical imaging equipment.  Having ISO certification in place gives customers and suppliers the confidence that they have documented and approved quality and safety controls across the whole of the business.  MIUS have an extensive stock of spare parts at their premises in Gloucester, many of which can be shipped out the same day.

Relocatable Options - In early 2020, MIUS were asked to produce Relocatable CT Pods suitable for use within clinical settings.  These pods needed to have large double doors, so that patient beds could be easily wheeled in and they were obliged by amending the blue print that they already had in place for the production of veterinary CT Pods.  One of these pods is currently on site at a medical centre in Italy, where it is being used to scan Covid patients. MIUS are selling and renting these pods, and each one can be built to a customer's specification.

MIUS Apprenticeship Programme - MIUS are very proud of their apprenticeship programme and provide a range of apprenticeship opportunities across our business. MIUS appointed their first apprentice in 2004 and haven’t looked back since. All of our apprentices have stayed with the business on completion of their apprenticeships, which confirms the supportive and motivating business environment provided.

Year On Year Growth - Although MIUS have grown as a business they still maintain their core ethos of “When Quality Counts” delivering excellent customer service for all clients. Their largest client is the NHS, servicing over 250 NHS hospitals and Trusts across the UK. MIUS enable NHS hospitals to reduce their maintenance costs significantly whilst at the same time maintaining maximum uptime and optimum performance of their equipment. The results speak for themselves with 99%+ average uptime for medical imaging equipment and a 97% first time fix rate across all imaging equipment maintenance contracts.
